Omnichannel Messaging CRM Software as a Service (SaaS)

1. Definitions

  • Provider refers to CyberNet IT Solutions.
  • User refers to any individual or legal entity using the Service.
  • Service refers to the SaaS CRM platform providing access to WhatsApp Business API, Telegram, dashboards, integrations, and related features.
  • Messaging Platforms refers to WhatsApp (Meta Platforms, Inc.) and Telegram.
  • Content refers to all messages, media, and data transmitted through the Service.

2. Scope of Service

  1. The Provider grants access according to the selected subscription plan.
  2. The Service may only be used for lawful business communication.
  3. The Provider is not affiliated with WhatsApp, Telegram, or Meta Platforms, Inc.

3. Registration and Account

  1. Users must provide accurate and up-to-date information.
  2. Users are responsible for account security.
  3. The Provider may suspend or terminate accounts violating these Terms.

4. User Obligations

  • Comply with WhatsApp and Telegram policies.
  • Ensure lawful opt-in consent from recipients.
  • Avoid spam, fraud, or illegal activity.
  • Remain fully responsible for all Content.

5. Acceptable Use and Prohibited Activities

The User is strictly prohibited from using the Service for:

  • Online gambling (slots, betting, lottery, or similar);
  • Fraud, scams, phishing, or criminal activities;
  • Illegal investments or fraudulent financial schemes;
  • Pornographic, obscene, or immoral content;
  • Illegal online lending services;
  • Sending spam without lawful opt-in consent;
  • Misuse of WhatsApp or Telegram APIs;
  • Content violating Indonesian law or Meta policies;
  • Any activities violating applicable regulations.

6. Regulatory Compliance

The User agrees to comply with:

  • Meta WhatsApp Business Policy;
  • Indonesian Electronic Information and Transactions Law (UU ITE);
  • Ministry of Communication and Informatics (Kominfo) regulations;
  • Applicable Indonesian government regulations;
  • Ethical business communication standards.

7. Fees and Payment

  1. Subscription fees must be paid in advance.
  2. All payments are non-refundable.
  3. Pricing may change with prior notice.

8. Intellectual Property

  1. All platform rights belong to the Provider.
  2. Users may not copy or reverse-engineer the Service.

9. Data Protection

  1. Data is processed according to the Privacy Policy.
  2. Internet transmission risks are acknowledged.
  3. Users are responsible for legal compliance.

10. Limitation of Liability

  1. The Service is provided “as is”.
  2. The Provider is not liable for platform outages.
  3. No liability for indirect damages.
  4. No responsibility for WhatsApp/Telegram suspensions.

11. Provider Rights

  • Suspend or terminate accounts without notice;
  • Stop violating campaigns immediately;
  • Block WhatsApp numbers or Telegram instances;
  • Refuse refunds upon violations;
  • Report illegal activities to authorities.

12. User Responsibility

  • All account activity;
  • All sent content;
  • Legal compliance;
  • Any damages resulting from violations.

13. Termination

  1. Users may stop anytime.
  2. Provider may terminate immediately on breach.
  3. Outstanding payments remain due.

14. Amendments

  1. Terms may be updated anytime.
  2. Users must accept new versions to continue.

15. Governing Law

  1. Governed by laws of the Republic of Indonesia.
  2. Disputes resolved amicably first.
  3. Otherwise settled in competent courts.
